For attorneys to receive the NADCO Member Tuition Rates he or she must be an Attorney Affiliate Member either as an individual or through their law firm.

DESCRIPTION: The 504 Loan Closing Update course must be taken by Designated Attorneys every two calendar years to ensure that the Attorney remains current on legislative and regulatory changes to the 504 Loan closing process. This online course fulfills the continuing education requirement for SBA Designated 504 Closing counsel. The course is also relevant for non-designated closing attorneys and CDC staff involved in the 504 loan closing process. Those attorneys who wish to become SBA Designated 504 Closing Counsel must complete the full 504 Loan Closing Course. At the conclusion of the 504 Loan Closing and 504 Loan Closing Update courses, NADCO forwards a list of participants to the SBA to update their records.

CLE CREDIT: Attorneys seeking CLE credit for attending this course should contact their state bar association to determine their state bar’s requirements and then complete the application process through their state. INSTRUCTORS:
Todd Kobernick, Attorney, Law Offices of Todd Kobernick
Mr. Kobernick commenced practicing law in the State of California thirty years ago focusing on understanding and resolving the issues of clients. His practice is focused on providing legal and advisory services on matters related to business, real estate, construction, nonprofit entity, lender and United States Small Business Administration legal matters. Mr. Kobernick has represented the largest U.S. Small Business Administration “certified development company” in the nation for nearly twenty years. The Law Offices of Todd E. Kobernick is an “AV” rated firm.

Mr. Kobernick attended the University of San Diego, graduating in 1984. He is admitted to the State Bar of California, United States District Court for the Southern and Central Districts of California and the United States Tax Court. Mr. Kobernick is certified by the U.S. Small Business Administration as a “designated counsel” authorized to provide specified legal services for SBA certified development companies.

Mr. Kobernick is involved with his community by serving on several Boards of Directors of nonprofit organizations. Recently, Mr. Kobernick founded a camp for youth and families, which operates during the entire year.

Todd Kobernick is a native San Diegan and a former social worker. He enjoys kayaking, racquetball, hiking and recovering from injuries.

Ethan Smith, Managing Partner, Starfield & Smith, P.C. Ethan is a co-founder and Managing Partner of Starfield & Smith, P.C. Ethan focuses his practice in commercial law, with an emphasis on government guaranteed lending, conventional commercial lending and real estate law. He works with various SBA lenders nationwide, ranging from large national lenders to small community banks and credit unions, and is a designated closing counsel for several Certified Development Companies. Ethan has also developed an active practice representing lenders before the US Small Business Administration on a variety of SBA guaranty related matters and leads the firm’s SBA compliance audit team.

Ethan is very active as a writer and speaker on government guaranteed lending issues nationwide. He has been recognized for possessing the highest levels of legal skills and ethics, achieving an “AV” rating from Martindale-Hubbell and having been repeatedly named a “Rising Star” by Philadelphia Magazine. In 2017, Ethan was recognized as the Instructor of the Year for the National Association of Government Guaranteed Lenders. Ethan has also served as an expert witness on several SBA and real estate related litigation matters.

As a closing attorney for commercial lenders, Ethan prepares loan documents and performs compliance reviews for loan files for SBA 7(a), 504, conventional, and USDA B&I commercial loans. He has closed hundreds of government guaranteed commercial loans through the SBA 7(a) and 504 loan programs, the USDA B&I program, and has closed numerous other conventional commercial financing transactions, including warehouse lines of credit, securitizations, asset-based, real estate, and factoring facilities. Ethan has closed numerous complex commercial transactions, often involving multi-jurisdictional issues and collateral. Ethan also represents numerous lenders in SBA licensing, compliance, regulatory enforcement, and guaranty purchase matters.
